Terms of Service

1. Eligibility & Authority

You represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into binding agreements.
• If acting on behalf of an entity, you have authority to bind that entity.
• You are responsible for ensuring your use complies with all applicable laws and regulations.

2. Description of Services

AI University provides software systems and AI-powered agent frameworks designed to assist with workflow automation, research, content generation, analysis, and operational tasks.

• The Services may rely on third-party AI models and infrastructure providers.
• We may modify, improve, suspend, or discontinue any portion of the Services at any time without liability.
• Nothing in these Terms guarantees specific outcomes, performance levels, financial returns, or business results.

3. No Professional Advice

The Services may generate outputs relating to business, financial, operational, or strategic matters. All outputs are provided for informational purposes only.

• The Services do not constitute financial, investment, legal, accounting, medical, or other professional advice.
• You are solely responsible for reviewing, validating, and approving all outputs before relying on them.

4. Accounts & Security

You are responsible for:

• Maintaining the confidentiality of login credentials.
• All activity under your account.
• Ensuring data provided is accurate and lawful.

You agree to notify us promptly of any unauthorized access. We reserve the right to suspend accounts if security risks are detected.

5. User Data & Content

You retain ownership of content and data you submit (“User Content”). You grant us a limited license to process User Content solely to provide the Services.

You represent and warrant that:

• You have rights to submit the User Content.
• It does not violate law or third-party rights.

We are not responsible for verifying the accuracy, legality, or appropriateness of User Content.

6. AI-Generated Output

AI-generated output may:

• Be incomplete or inaccurate.
• Contain errors.
• Resemble content generated for other users.
• Reflect limitations of underlying models.

You acknowledge that AI systems are probabilistic and may not produce consistent or reliable results. You assume full responsibility for evaluating and using output. We disclaim liability arising from reliance on AI-generated output.

7. Acceptable Use

You may not use the Services to:

• Violate applicable laws.
• Infringe intellectual property rights.
• Generate illegal or harmful content.
• Attempt unauthorized system access.
• Reverse engineer or exploit the platform.
• Use the Services for high-risk activities without human oversight.

We may suspend or terminate accounts violating this section.

8. Fees, Billing & Payment

Certain Services require paid subscriptions. By subscribing, you authorize recurring billing.

Fees are:

• Non-refundable unless required by law.
• Exclusive of taxes.
• Subject to change with notice.

Failure to pay may result in suspension or termination.

9. Intellectual Property

All rights, title, and interest in the Services, including software, systems, designs, and documentation, remain the exclusive property of AI University. No ownership rights are transferred.

You may not copy, distribute, modify, resell, or create derivative works except as explicitly permitted.

10. Third-Party Services

The Services may integrate or rely on third-party providers. We are not responsible for third-party systems, model providers, external APIs, or their availability or performance. Your use of third-party services may be subject to their terms.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee accuracy, reliability, availability, or performance.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business interruption.

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless AI University and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Services, violation of these Terms, violation of law, or infringement of third-party rights.

14. Termination

• We may suspend or terminate your access at any time for violation of these Terms or risk to the platform.
• Upon termination, access ends immediately. Certain provisions survive (IP, liability, indemnification).
• You may cancel at any time subject to billing terms.

15. Force Majeure

We are not liable for failure or delay due to events beyond reasonable control, including outages, provider failures, or acts of government.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Disputes shall be resolved exclusively in the courts located in Amsterdam, the Netherlands.

17. Severability

If any provision is found unenforceable, the remaining provisions remain in full force.

18. Entire Agreement

These Terms constitute the entire agreement between you and AI University regarding the Services.

19. Modifications

We may update these Terms from time to time. Continued use after updates constitutes acceptance.
